Proposed Amendments to SLMMS Bylaws – November 2014

In response to recent actions by the SLMMS Council, the SLMMS Bylaws Committee is recommending several changes or amendments to the Bylaws of the St. Louis Metropolitan Medical Society. These changes do not impact the Bylaws of the St. Louis Society for Medical and Scientific Education (SLSMSE).

The Bylaws Committee is proposing these changes, which are being presented to the membership of the St. Louis Metropolitan Medical Society through this posting on the Society website.

In summary, the changes to the Bylaws include:
–          Changing the term “Junior” member to “Resident/Fellow” member
–          Allowing for a Medical Student Section liaison to be appointed by the Council for a one-year term and become a voting member; the students have proposed two liaisons (one each from WUSM and SLU), but combined would only have one vote.
–          Changing the application procedure to also reflect the ability to apply online
–          Clarifying the updated procedure for processing applications and recommending new members. All applications are reviewed and verified (through the appropriate licensing commissions) by the staff, not by the Membership Committee, then recommendations for membership are made by the EVP to the Council.
–          If the changes are adopted, also all references in the bylaws to “Junior” membership will be changed to “Resident/Fellow” membership.

The complete text of the proposed changes, as well as the current wording, are detailed below.

Note to Members: These proposed amendments are posted here on November 5, 2014 in accordance with the existing SLMMS Bylaws (Chapter XIV. Section 1.) to provide members thirty (30) days’ notice prior to the time of the Council voting on the amendments. The St. Louis Metropolitan Medical Society Council will discuss and vote on these proposed amendments at their December 9, 2014 Council meeting, to be held at 7:00 p.m. in the first floor Conference Room at the SLMMS offices. An affirmative vote of two-thirds of the members of the Council will be required to make the amendments.

(1.) Current

CHAPTER I. MEMBERS

Section 4. Junior Members. Applicants may be admitted as Junior members after graduation in medicine or osteopathy and during the time they are serving full time internships, residencies, or fellowships, or during their first year of practice.  Upon completion of the years that qualify them for Junior status, they shall automatically become Active Members.  Junior Members shall have the same qualifications for admission and shall have the same privileges as Active Members.

Proposed Change:

Section 4. Resident/Fellow Members. Applicants may be admitted as Resident/Fellow members after graduation in medicine or osteopathy and during the time they are serving full time internships, residencies, or fellowships. Upon completion of the years that qualify them for Resident/Fellow status, they may automatically become Active members, following a status change request. Resident/Fellow members have the same qualifications for admission and shall have the same privileges as Active members, and shall be assigned to the Resident/Fellow Section.

(2.) Current

Section 8.  Student Members. Student members shall be limited to those pursuing a course of study leading to the degree of Doctor of Medicine or Doctor of Osteopathy at a school approved by the American Medical Association or American Osteopathic Association.

Student members shall be limited to those pursuing a course of study leading to the degree of Doctor of Medicine or Doctor of Osteopathy at a school approved by the American Medical Association or American Osteopathic Association. They shall be assigned to the Medical Student Section. Student members shall not be assessed dues and may not vote or hold elective office, except if appointed as the Medical Student Section liaison to the Council.

(3.) Current

Section 9.  Members With No Vote. As mentioned elsewhere in this chapter, Student, Corresponding and Honorary Members shall not be entitled to vote nor hold elective office, nor shall they be counted as members in determining the number of delegates to the Missouri State Medical Association to which the Society is entitled.

Any person who desires to become a member of the Society must make application in writing on the regular form.  The application must be accompanied by the dues as provided for in Chapter X, Section 1, and a recent photograph.  Applications shall be referred to the Membership Committee who shall report to the Council with recommendations.  The Council shall then vote on the application and two-thirds of the votes cast shall be necessary to elect.

Section 6.  The Council. The Council shall consist of twelve (12) Councilors, with the Immediate Past President, President, President-Elect, Vice President, and Secretary-Treasurer serving as ex officio members. Four (4) councilors shall be elected annually, each to serve three-year terms.

The Medical Student Section may designate a Medical Student Section liaison(s), whose appointment(s) will be approved by the Council for a period of one year, and the Medical Student Section will be permitted one vote in matters pertaining to the business of the Council provided that total Medical Student membership is maintained at 50 or more members.

CHAPTER IX. COMMITTEES

Section 6.  Membership Committee. The Membership Committee shall consist of no less than five members appointed annually by the President.  The committee is charged with recruiting new members and the retention of existing members.  The committee shall review the applications of new members and requests for changes in membership status, and through the Executive Vice President, make recommendations to the Council.

If the above changes are adopted, recommend that two (2) references in the Bylaws related to “Junior” membership are modified to “Resident/Fellow” membership.
